Job Summary


 

We are seeking an experienced Counsel with deep expertise in federal income tax related to mergers and acquisitions. You will work closely with cross-practice teams—M&A, corporate, finance, IP, and international tax—to structure tax-efficient deals nationwide. This is a mid-to-senior-level role with significant client-facing responsibilities and leadership opportunities.

About the Practice

 

Our Tax Practice is known for its thoughtful and sophisticated approach to:

 

  • Sophisticated M&A Tax Structuring – Advising on federal and international tax aspects of complex mergers, acquisitions, divestitures, and joint ventures.
  • Cross-Border Planning Expertise – Deep experience with inbound and outbound investments, including GILTI, FDII, Subpart F, and foreign tax credit strategies.
  • Integrated Transactional Support – Seamless collaboration with the firm’s corporate, real estate, IP, finance, and private equity teams to deliver holistic deal solutions.
  • Tax-Efficient IP and Supply Chain Structuring – Especially for clients in biotech, tech, and life sciences, including optimization of IP migration and intercompany arrangements.
  • Private Equity and Fund Structuring – Advising sponsors and portfolio companies on formation, acquisition vehicles, and exit strategies with optimal tax outcomes.
  • Executive Compensation & Equity Planning – Designing tax-smart executive incentive structures and deferred compensation plans.
  • Trusted Advisor to Middle-Market and Fortune 500 Clients – Recognized for practical, business-oriented tax counsel across industries including real estate, healthcare, energy, and tech.
  • Diverse Team of Tax Attorneys – Including lawyers with Big Four and in-house backgrounds, ensuring technical depth and commercial fluency.

 


 

Role Responsibilities

 

As Counsel in our Tax group, you will:

  • Structure federal tax aspects of M&A, including domestic and cross-border acquisitions, reorganizations, and divestitures
  • Advise on inbound and outbound investment tax structures (e.g., FDII, GILTI)
  • Collaborate with private equity, corporate, real estate, and IP teams to integrate transaction targets into client tax frameworks
  • Draft comprehensive tax analyses, memos, and deal documentation
  • Counsel on tax-free reorganizations and partnership equity structures
  • Coordinate with state and global tax advisors to manage multijurisdictional tax implications
  • Mentor junior lawyers and contribute to internal tax strategy initiatives

 


 

Qualifications

 

  • JD with LL.M. or equivalent tax credentials; qualified CPA a plus
  • 10+ years of experience in U.S. federal tax, specializing in M&A, private equity, and cross-border transactions
  • Proven ability to advise on inbound/outbound investments, tax-free reorganizations, and tax efficiency strategies (e.g., FDII, GILTI)
  • Collaborative mindset with strong communication skills—able to explain complex tax topics to clients and deal teams
  • Track record of working effectively among corporate, international tax, IP, and real estate lawyers
  • Adaptable researcher and writer, with high-quality drafting ability
  • Admission to the bar in one of the hiring office locations
